A proposal seeks to raise the limit to Rs 20 Crore (approximately $2.4 million USD) for transactions with M/s Golden Pearl Oil Products LLP, a wholly-owned subsidiary where directors hold partnership interests, and another seeks the same limit with M/s Unity Enterprises, a proprietorship firm owned by Whole Time Director Mr. Rohit Gupta. Shareholders will also vote on remuneration packages for key managerial personnel, including Managing Director Mr. Ashish Goel, Mr. Gupta, and Director Mrs. Rashika Gupta. The board is expected to address concerns regarding potential conflicts of interest and demonstrate that these transactions are conducted on arm’s length terms and benefit the company as a whole, with scrutiny anticipated on pricing, due diligence, and independent valuations.
