Company to divest Pavna Auto Engineering and Swapnil Switches for approximately Rs 11.35 Crores

The company is set to acquire and divest both Pavna Auto Engineering Private Limited (PAEPL) and Swapnil Switches Private Limited (SSPL), with consideration totaling approximately Rs 11.35 Crores, subject to closing adjustments. PAEPL’s consideration is Rs 8.80 Crores, with Mrs. Priya Jain of the Promoter Group as the buyer, while SSPL’s consideration is Rs 2.55 Crores, with buyers including Mrs. Asha Jain, Mrs. Priya Jain, and PJ Wealth Management and Consultant Private Limited. Completion of both transactions is expected within 120 days of shareholder approval, with proceeds to be reinvested in higher-growth opportunities within the auto industry. The divestments, involving related parties and conducted at arm’s length, are intended to unlock shareholder value, optimize the company’s investment portfolio, and strengthen its balance sheet.
