Pavna Industries approved acquisition of PAEPL for Rs 8.80 Crores, followed by divestment

Pavna Industries Limited’s board approved the acquisition of a 100% stake in Pavna Auto Engineering Private Limited (PAEPL) for approximately Rs 8.80 Crores, with completion expected within 120 days of shareholder approval. Simultaneously, the board authorized the sale of both PAEPL to Mrs. Priya Jain, part of the Promoter Group, and Swapnil Switches Private Limited (SSPL) to Mrs. Asha Jain, Mrs. Priya Jain, and PJ Wealth Management and Consultant Private Limited, for approximately Rs 2.55 Crores. The divestments, conducted at arm’s length based on valuation reports, aim to unlock shareholder value, optimize the investment portfolio, and strengthen the company’s balance sheet, with proceeds earmarked for core business strengthening and potential reinvestment in two and three-wheeler segments. PAEPL contributed Rs 1533.95 lakhs in turnover and Rs 1778.90 lakhs in net worth during the last financial year, while SSPL’s contributions were Rs 247.69 lakhs in turnover and Rs 487.13 lakhs in net worth.
