Vedanta approves stock option and share purchase plans allocating up to 19.5 million shares

Vedanta Limited’s board approved the Vedanta Limited Employee Stock Option Plan 2026 (VEDL ESOP 2026) and Vedanta Limited Employee Share Purchase Plan 2026 (VEDL ESPP 2026) at a meeting held July 30, 2026, superseding the existing Vedanta Employee Stock Option Scheme 2016. The ESOP plan allocates up to 16,62,04,184 shares, representing 4.25% of the company’s paid-up share capital, to eligible employees, while the ESPP plan allocates up to 2,93,30,150 shares, or 0.75% of the paid-up share capital. Both plans will be administered through a Vedanta Limited ESOS Trust, which will acquire shares through secondary market purchases. The plans, designed to comply with SEBI regulations, are subject to the oversight of the company’s Nomination & Remuneration Committee, which will determine details such as eligibility and pricing; no grants or offers have been made under either plan as of the announcement date.
